The Client (as detailed overleaf), (hereinafter referred to as Client) is engaging GetOnIt.co.uk. (Hereinafter referred to as GetOnIt), as an independent contractor for the specific purpose of designing a World Wide Web site (hereinafter referred to as Web Design Project) to be published on the Clients account on an Internet Service Provider (ISP) computer, hereinafter refer to as Hosting Service, or provided on diskette at the Clients option. The Client hereby authorises GetOnIt to access this account, and authorises the Hosting Service to provide GetOnIt with full access to the Clients account, and any other programs needed for this Web Design Project that are included as part of the Clients service agreement. The Client also authorises GetOnIt to submit the completed Web Design Project to major Web Search Engines.
Your Web Design Project will be developed using the latest technologies and software including PHP, mySQL, Jquery, XHTML/HTML 5 and CSS3.
Designing a web site to fully work in multiple browsers (and browser versions) can require considerable, extra effort. It could also involve creating multiple versions of code and stylesheets. GetOnIT represents and warrants that the web site we design for you will work in: Microsoft Internet Explorer versions 7 and up, Firefox, Safari and Google Chrome. Without sacrificing quality and design, we try to ensure that the content and functions we build into our web sites are available to all visitors including those on mobile and tablet devices.
GetOnIT reserves the right, and you hereby agree, to assign subcontractors to this Web Design Project to ensure that the terms of this agreement are met as well as on-time completion.
The Client unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork used by, or furnished to GetOnIT for inclusion in the Web Design Project are owned by the Client, or that the Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, indemnify GetOnIT and its subcontractors from any liability (including solicitors fees and court costs), including any claim or suit, threatened or actual, arising from the use of such elements furnished by the Client. This includes any material that could be deemed pornographic in nature or any material unsuitable for viewing by certain age groups.
This agreement allows for minor web site maintenance to pages, including updating links and making minor changes to a sentence or paragraph. It does not include replacing nearly all the text from a page with new text, major page reconstruction, new pages, guestbooks, discussion webs, navigation structure changes, attempted updates by Client repairs or Web Design Projects delivered to Client via diskette. If the Clients web design package includes database access using Active Server Pages (ASP), then very minor page code changes will be accepted under this web site maintenance plan, major page code and/or database structural changes will be charged at hourly rates. All communications for maintenance must be by email.
GetOnIT and the Client must work together to complete the Web Design Project in a timely manner. We agree to work expeditiously to complete the Web Design Project no later than the agreed time after the Client has submitted all necessary materials. If the Client does not supply GetOnIT with complete text and graphics content for this Web Design Project within 45 days of the effective date this agreement, the entire deposit amount of the agreement shall be retained by GetOnIT as liquidated damages and the contract shall become null and void, at GetOnITs option.
The final web site design project will be published to the Client’s hosting service upon receipt of payment or delivered via diskette upon the receipt of full payment.
If the clients hosting service is not configured correctly to support our publishing functionality, GetOnIT charges at an hourly rate for the effort involved to resolve whatever problems may arise. Note: this does not apply to GetOnIT Hosting.
All websites must be considered as work in progress until signed off by the client. No website will be uploaded onto the hosting server until signed off and paid for in full with cleared funds. Getonit have the facility to add websites being built onto the back of the Getonit.co.uk website for the purposes of examination and testing by the client. In extraordinary cases Getonit will upload unfinished websites onto the host server for testing. ALL Websites must undergo a period of soak testing and problem shake-downs before being considered as “live” for the general public, particularly with websites containing databases and/or shopping trolleys.
GetOnit offer hosting services through third party companies as resellers. Getonit is NOT responsible for the operational efficiency of third party hosting servers. Nor can we be held responsible for any losses incurred due to “down time” by third party hosting servers, or loss of data due to virus impregnation of third party hosting servers or losses due to fraudulent use of customers property or faulty back-up systems that are the responsibility of the client. Getonit actively encourages its clients to duplicate its daily back up systems and can provide advice, systems software and the training of staff responsible for this important facet of website databases and shopping systems.
GetOnIt will register your Web Design Project with the major search engines free of charge but does not guarantee that any such search engines will place the Clients Web Design Project near the top for any given search results. In addition some search engines do not guarantee that submissions will be accepted. These actions are deemed outside of GetOnITs control.
The Client assumes all responsibility for the use and functionality of the Web Design Project.
The Client agrees that the Client is solely responsible for complying with any laws, taxes, and tariffs applicable in any way to the Web Design Project or any other services contemplated herein, and will hold harmless, protect, and defend GetOnIt and its subcontractors from any claim, suit, penalty, tax, time, penalty, or tariff arising from the Clients exercise of Internet electronic commerce and/or any failure to comply with any such laws, taxes, and tariffs.
Unless otherwise agreed GetOnIt.co.uk reserve the right to initiate advertising of GetOnIt’s services on each home page of web sites that have been designed or are hosted by GetOnIt.co.uk This will normally be a small line at the foot of the home page indicating that the website was designed by GetOnIt.co.uk – in addition when a user has finished browsing the designed site, a small window will appear advertising GetOnIt’s services.

The developer will in no way be held responsible for the website or any resulting issues. Should the client allow access to their hosting for the purpose of uploading the website, fixing bugs on the website, or any other request of the developer made by the client in writing (email) then the developer will in no way be held responsible for any faults or issues occurring on the website or the clients hosting. Responsibility for any problems on their hosting solution will lie solely with the client and not the developer.
The developer is in no way responsible for the data on the client’s website. It is the client’s responsibility to backup all data.
Should the developer be replacing an existing website created by anyone else other than the developer (either on the clients or developers hosting) then the client is responsible to make suitable backups before the new website can be uploaded. Once the new website is live the developer can in no way be held responsible for the previous website.
The Developer endeavours to provide a website within given delivery timescales to the best of its ability. However, the Client agrees that the Developer is not liable for any claims, losses, costs incurred or compensation due to any failure to carry out services within a given delivery timescale.
The Client agrees that the Developer is not liable for any failure to carry out services for reasons beyond its control, including but not limited to acts of God, telecommunication problems, software failure, hardware failure, third party interference, Government, emergency on a major scale or any social disturbance of extreme nature such as industrial strike, riot, terrorism and war or any act or omission of any third party services.
The Developer is not liable for any consequences or financial losses such as, but not limited to, loss of business, profit, revenue, contract, data or potential savings, relating to services provided.
On handover of files from Developer to Client, the Client shall assume entire responsibility in ensuring that all files are functioning correctly before use.
Whilst every effort is made to make sure files are error free, the Developer cannot guarantee that the display or functionality of the web design or the website will be uninterrupted or error-free. If, after handover of files, errors are found in code the Developer has created and the standard development platform, domain name set-up and hosting set-up are the same as when work began, then the Developer can correct these errors however the Developer reserves the right to quote separately for any work involved in correcting an error.
If, after handover of files, errors are found in code the Developer has created and the standard development platform, or the domain name set-up or hosting set-up has been changed, the Developer can correct errors and reserves the right to quote separately for any additional work needed as a result of changes to the browser software, domain name set-up or hosting set-up.
Should the Client go into compulsory or involuntary liquidation or cannot pay its debts in the normal course of business, the Developer reserves the right to cancel forthwith any projects and invoice the Client for any work completed.
The Developer shall have no liability to the Client or any third parties for any damages, including but not limited to claims, losses, lost profits, lost savings, or other incidental, consequential, or special damages arising out of the operation of or inability to operate these web pages or website, even if the Developer has been advised of the possibility of such damages.
There are sometimes laws and taxes that affect Internet e-commerce. The Client agrees that it is their responsibility to comply with such laws and will hold harmless, protect, and defend the Developer and its subcontractors from any claim, suit, penalty, tax, or tariff arising from the Client’s exercise of Internet e-commerce.
The Developer may from time to time recommend to the Client that updates are needed to their site, including but not limited to new legislation compliance, software compatibility and web standards. The Developer reserves the right to quote for any updates as separate work. The Client agrees that the Developer is not liable for any failure to inform or implement these updates to their site. The Client agrees that it shall defend, indemnify, save and hold the Developer harmless from any and all demands, liabilities, costs, losses and claims arising from omission to inform or implement these updates.
